Position Overview

Position Description

 

Reporting to the VP, General Counsel and Corporate Secretary of HLUS, the General Counsel, FDB/ Division General Counsel HLUS will serve as the lead attorney for FUJIFILM Diosynth Biotechnologies (FDB), a world-leading contract development and manufacturing organization (CDMO) for biologics, vaccines and advanced therapies. The person in this role will be an accomplished lawyer with extensive experience in the pharmaceutical space and will bring strong leadership and business acumen to the table.

 

This individual will be a member of the Fujifilm Holdings America Corporation (HLUS) legal leadership team and the FDB Business Support leadership team, through which this individual will have a dotted line reporting relationship to the FDB CFO,and will play a critical role in helping FDB manage new and evolving legal risks, issues and strategy, and in achieving business success.

 

The General Counsel, FDB will be responsible for managing all commercial legal matters affecting FDB   including, but not limited to, negotiation of all legal aspects of commercial agreements as well as commercial, regulatory and compliance advice and counsel. In conjunction with legal colleagues throughout HLUS legal, the Geneal Counsel, FDB will also support commercial litigation matters, and, in conjunction with HR and the Labor and Employment legal team, employment/labor issues and serve as an advisor and support for Quality, EHS, Finance, Commercial, Operations, HR and FDB IP groups.

 

With connections across the FDB business as a whole, as well as HLUS and the wider FUJIFILM group, the General Counsel, FDB will be uniquely positioned to spot risks and issues arising in one business area and understand their impacts elsewhere to influence and enable senior management to make informed, business-driven decisions. The successful candidate will be expected to direct legal strategy in a way that enables maximization of business opportunity within tolerable risk parameters.

Job Description

Responsibilities

Key responsibilities of the position will include but are not limited to:

  • Helping to guide the business through legal issues arising in times of change and to meet commercial objectives, operating as a business enabler and an essential adviser to the Executive Leadership Team (ELT) while at the same time maintaining autonomy and standards and the ability to provide independent counsel.
  • Setting and executing the legal strategy for the global FDB businesses.
  • Leading the global Legal Team of FDB-assigned attorneys and non-attorney professionals. Providing appropriate legal training and mentoring to the Legal Team as well as ensuring the Team delivers appropriate training, mentoring and briefings to the wider business in an accessible and user-friendly format.
  • Ensuring the global Legal Team provides expert level support for commercial negotiations with pharmaceutical customers in a fast-paced and dynamic environment.
  • Ensuring the business is protected by the use of commercial agreements that minimize risks and maximize legal rights (based on calculated and predetermined business risk appetite).
  • Ensuring a portfolio of large capex projects receives expert legal support from the Legal Team.
  • Providing strategic and expert legal advice on mergers and acquisitions and acting as legal lead for complex/strategically important deals and a point of escalation for resolution of legal issues for other matters handled by the wider team.
  • Setting and implementing internal governance policies and managing the impact of external legal factors on the business.
  • Anticipating and identifying legal issues and risks that may impact the business; identifying proactive and strategic solutions that will eliminate or mitigate such risks/issues.
  • Basing decisions on law and regulation, ethics and integrity, and creating associations of trust and respect with key stakeholders.
  • Keeping abreast of legislative changes and providing advice/strategic direction in relation to the same.
  • Supporting the objectives of and collaborating with the legal teams of the other Regional Headquarters (RHQ).
  • Responsible for reporting legal issues and risk to RHQs and FTYO as required and necessary.
  • Introducing technology to deliver more efficient and effective services to enable the team to focus on higher-value and more engaging work.
  • Identifying, appointing and managing external legal resources as appropriate ensuring value for money and business accessible, yet expert, advice.
  • An ability to travel to support face-to-face meetings with colleagues and customers.

 

Required Skills/Education

  • J.D. from an accredited law school. Licensed to practice in North Carolina or admitted to a State Bar of any US State or the District of Columbia and eligible to register as House Counsel in North Carolina.
  • At least 15 years of legal experience gained through a combination of law firm and in-house experience is
  • At least seven (7) years of experience in the pharmaceutical industry is strongly preferred.
  • Experience leading legal teams in an in-house legal department is required.
  • Deep contract drafting and negotiation skills in complex transactions in highly regulated industries.
  • Develop intimate and detailed knowledge of FDB’s business practices, processes, and commercial and strategic goals in order to affect maximal legal advice.
  • Ability to balance advice against complex pressures which includes successful completion of contractual negotiation, protecting and maximizing the interests of FDB.
  • A strategic and analytical thinker, able to apply leading-edge legal knowledge influentially at all levels within FDB.

  • Highly advanced interpersonal, relationship-building, and influencing skills are required across a complex matrix organization, the wider Fujifilm Group, and across client/vendor organizations.
  • Ability to act with autonomy, objectivity, and independence at all times even when under pressure to find solutions to business issues.

  • Adept at collaborating (business partnering) across divisions, functions, and geography, with a skill for engaging colleagues at all levels in projects and processes while continuing to own and drive them.
